Coty’s 7 July 2026 agreement to transition the Gucci Beauty license back to Kering sets a date and payment schedule, but not an immediate handover. Its company-filed agreement says the license is due to end on 30 June 2027, with an option for Kering to request an extension. Coty says it will continue operating the brand through at least that date.
Quick answer
The deal covers exclusive rights to manufacture and commercialize beauty products under the Gucci brand. Coty disclosed approximately $400 million in termination-agreement consideration: $250 million at signing and $150 million due by the earlier of the anticipated termination date and 30 September 2027. Up to $30 million of the second payment may be held back in specified circumstances. Inventory is separate; the filing does not state its value.
What the agreement covers
Coty’s 8-K identifies the parties as Coty, related operating entities, Guccio Gucci, Gucci America and Kering. It describes the license as the exclusive right to make and commercialize Gucci beauty products, under an agreement dated 21 April 2006. The disclosure concerns Gucci Beauty licensing, not Gucci’s fashion business or the entire Gucci brand.
The scheduled termination is one year ahead of the license’s original expiry. The filing adds a detail absent from the press release summary: Kering may request an extension. It does not say how long an extension could last or give a product-, retailer- or market-level operating calendar. “At least” June 2027 is the supported public description of Coty’s continued operation, not a final date for every transition step.
How the money and inventory are timed
Coty says it received the first $250 million at signing. The remaining $150 million is due on the earlier of the anticipated termination date and 30 September 2027, with a possible holdback of up to $30 million in specified circumstances. Even if Kering requests an extension, the filing lists 30 September 2027 as the outside payment date.
Coty will also sell enough Gucci Beauty inventory to support the transition, invoicing Kering during that period. The filing gives no inventory quantity, product list, valuation or total proceeds. Coty separately estimated about $30 million in cash taxes for the transaction; this is not a complete net-proceeds calculation.
Coty said it intends to use the transaction proceeds to reduce debt, reinvest in its core fragrance and beauty brands, and adjust its organization to the smaller business scope. Those are stated uses, not evidence that each allocation has already occurred. The filing also records a mutual resolution of pending litigation and related claims concerning the license.
Why Coty points to FY28
In its 19 August fiscal-year results, Coty said the Gucci Beauty license exit would cause a step-down in sales and profit in FY28. The company said it was developing plans to moderate that impact through its core brands, new portfolio additions and a fixed-cost reduction program. It did not quantify the expected Gucci-related revenue or profit reduction in that statement. This makes the announced license date useful context for reading Coty’s medium-term plans, while leaving the size of the operating effect unresolved.
What the public documents leave open
The available disclosures do not name the inventory to be transferred, put a value on it, detail the criteria behind the possible $30 million holdback, or explain the requested-extension mechanism beyond Kering’s option. They also do not provide a market-by-market cutover schedule or say how specific product formulas, launches and retail relationships will be handled. Coty’s statement of more than 60% revenue growth for Gucci Beauty since 2019 is the company’s own characterization and should not be read as independent market measurement.
The evidence reviewed is Coty’s announcement, its securities filing and its later results release. It supports the parties, contractual scope, payment terms and the company’s stated FY28 expectation; it does not establish independent valuations, future product availability or the commercial outcome after the license ends.
